Terms of Use

Acquisition Toolkit is operated by Thinkerz Ltd (company number SC778478) as an internal M&A analysis and deal-structuring workbench. Access is invite-only and may be granted solely to persons authorised by Thinkerz Ltd.

The existence of the public landing page does not grant any person a right to register, obtain access, license the software or receive M&A advisory services. Acquisition Toolkit is not presently offered for public or commercial use.

Authorised users may use the system only for legitimate internal transaction work and for activities approved by Thinkerz Ltd. Users must not attempt to bypass access controls, interfere with the system, introduce malicious code, disclose credentials or use the system for any unlawful purpose.

Deal information, financial analysis, valuation material, reports, proposals, Heads of Terms, user records and other non-public content within Acquisition Toolkit are confidential. Access to the system does not authorise onward disclosure. Users must follow the confidentiality requirements applicable to the relevant transaction and organisation. Practical scenarios and negotiating assumptions are internal only and must not be circulated externally without explicit approval.

Acquisition Toolkit is designed around an underlying acquisition model and a linked reporting/document workflow. The application uses its own calculation engines, informed by uploaded inputs. Users remain responsible for the assumptions, adjustments, classifications and commercial judgements adopted in that model and in the deal record.

The system automates financial calculations and presentation; it does not replace analyst review or professional judgement.

Analysis, schedules and any exported outputs are working materials generated from the information and assumptions held in the relevant deal record at the time of generation. Users must review each output before circulation and confirm that the economics, dates, parties, assumptions and legal, funding or commercial terms remain current.

Acquisition Toolkit is an internal decision-support and document-preparation tool. Its outputs do not constitute legal, tax, accounting, investment, regulatory or other professional advice to any recipient. Appropriate professional advisers should be engaged where advice is required.

The quality of any output depends on the information, assumptions and judgement entered into the system. Thinkerz Ltd does not warrant that the tool or any generated document is complete, error-free, suitable for a particular transaction or a substitute for independent verification and due diligence.

Users must only upload or enter information they are authorised to use, must take reasonable care with personal and confidential data and must keep account credentials secure. Suspected unauthorised access, data loss or security incidents should be reported promptly.

The software, interface, document-generation framework, templates and associated materials forming Acquisition Toolkit remain the property of Thinkerz Ltd or its licensors. Authorised internal use does not transfer ownership or grant any right to commercialise, sublicense, copy or distribute the system itself.

Thinkerz Ltd may modify, suspend or withdraw any part of the system, change access rights or update functionality at any time. Internal availability is not guaranteed and users should retain appropriate source records and transaction files outside the application where required.

Access may be suspended or withdrawn where a user no longer requires access, leaves the relevant organisation or deal team, breaches these terms or creates a security, legal or confidentiality risk.

These website and system terms are governed by the laws of Scotland. This does not affect the governing law separately agreed for any acquisition, Heads of Terms, SPA or other transaction document generated using the system.
